Terms of Use

1. Purpose

These Terms of Use (the “Terms”) define the conditions for accessing and using the Welldona website, available at https://www.welldona.com (the “Site”), operated by Welldona SRL, headquartered at Allée de Clerlande, 3, 1340 Ottignies-Louvain-la-Neuve, registered with the Belgian Business Register under number 1027.856.639 (“Welldona”).

The Site is designed as a digital directory listing non-profit organizations and foundations, making them visible to notaries and their clients for estate-planning, philanthropic, and potential donation purposes.

These Terms govern access, registration, subscription, use of the services, and all relations between Welldona and its Users.

3. Definitions

  • User: any individual or legal entity accessing the Site, whether an ASBL/non-profit, notary, partner professional, or visitor.
  • Organization / ASBL: any non-profit entity listed in the Welldona directory.
  • Service: all services offered by Welldona, including creating a profile in the directory, visibility with notaries, highlight options, and access to certain events.
  • Subscription: paid annual plan giving access to the Services, tacitly renewed unless canceled within the stated deadlines.
  • Personal space: private interface allowing an ASBL to manage its profile, information, supporting documents, and subscription.

4. Access to the Site and account creation

Access to the public content of the Site is free. Creating an account and using Welldona’s Services, however, requires a valid subscription.

When registering, the User agrees to provide accurate, complete, and up-to-date information and to promptly update any data that becomes inaccurate or obsolete. Impersonation or use of data belonging to third parties is strictly prohibited.

Welldona reserves the right to refuse, suspend, or delete access to the Services and the account of any User whose information proves to be false, misleading, incomplete, or contrary to applicable legal requirements, without notice, compensation, or refund.

5. Description of services

Welldona’s Services include creating, managing, and publishing a non-profit profile in the online directory to increase visibility with notaries and professional partners, and to participate in certain initiatives, events, or collaborations organized by Welldona.

The User may also benefit from specific or temporary highlight options, as well as a personal space to manage and update published information.

Welldona acts solely as a technical and administrative intermediary. It does not guarantee any contact, relationship, donation, partnership, or financial commitment between a listed ASBL and a notary, donor, or any third party. Welldona cannot be held liable for a lack of results or outcomes from using the Site.

6. Order, subscription, and payment

The subscription to the Services is concluded for an initial one-year period from the effective confirmation of payment by the User. It is automatically renewed for successive one-year periods unless canceled in accordance with the terms set out below. Payment is made online via the payment solutions offered on the Site. An invoice is automatically issued after payment validation.

Cancellation

The User may terminate the subscription by sending written notice to Welldona, by email or mail, at least three (3) months before the annual renewal date. If this notice period is not respected, the subscription renews for another year, without the User being entitled to a full or partial refund.

No refunds

Any subscription period that has begun is fully due, and no refund can be requested in the event of voluntary interruption, suspension, or early termination by the User or for any reason whatsoever.

7. Right of withdrawal

In accordance with the Belgian Code of Economic Law, a consumer User has a right of withdrawal allowing them to withdraw from the contract within fourteen (14) days of the order date.

However, the User expressly acknowledges that the Services begin immediately after order validation, notably by publishing the profile in the directory and providing access to subscription features. The service is therefore deemed fully executed from that moment. Consequently, the User accepts and confirms they waive the right of withdrawal as soon as service execution begins.

Non-profit organizations, as legal entities and professional users, do not benefit from any right of withdrawal under applicable law (art. VI.53, 12° Belgian Code of Economic Law).

8. Liability

Welldona is bound by an obligation of means in providing the Services. It cannot be held liable for content provided or published by ASBLs or any User, nor for the accuracy, completeness, or truthfulness of the information transmitted to it. Welldona assumes no responsibility for analyses, interpretations, decisions, recommendations, advice, or actions from a notary, professional partner, or any third party using the Site.

Similarly, Welldona does not guarantee the establishment of a relationship, nor the conclusion of a donation, partnership, or any commitment between a listed ASBL and a notary or donor, nor is it responsible for any lack of visibility, results, or concrete outcomes for the User.

Welldona cannot guarantee that the Site will be free from interruptions, errors, malfunctions, or technical failures, nor that it will operate continuously. It also cannot guarantee compatibility of the Site with all computer equipment, software, configurations, internet connections, or technical environments used by the User.

In the event of force majeure under Belgian law, or any external, unforeseeable, and irresistible event making Service execution impossible or excessively difficult, Welldona’s liability cannot be engaged.

In any case, and notwithstanding the above, Welldona’s liability, whatever the cause, is strictly limited to the amount paid by the User for the current Subscription.

9. Personal data (GDPR)

Welldona processes Users’ personal data in strict compliance with Regulation (EU) 2016/679 (GDPR) and the Belgian Law of 30 July 2018 on the protection of natural persons with regard to the processing of personal data.

Information collected when using the Site is processed for managing user accounts, executing and billing subscriptions, publishing and updating profiles in the directory, and enabling visibility and indirect connections offered by the platform.

Users have, under applicable law, the rights of access, rectification, erasure, objection on legitimate grounds, and restriction of processing where legal conditions are met. These rights can be exercised at any time by sending a written request to: [email protected].

The detailed Privacy Policy, available on the Site, sets out the full personal data processing terms and forms an integral part of these Terms.

10. Intellectual property

The Site’s content (texts, visuals, logos, databases, structure, source code, videos, etc.) is protected by copyright, trademark law, and database rights. Any reproduction, distribution, or exploitation, even partial, without prior written authorization from Welldona is strictly prohibited.

ASBLs remain the owners of the content they publish but grant Welldona a non-exclusive, worldwide, transferable, sublicensable, and free license to display it on the Site and for platform promotion.

11. Duration, suspension, and termination

These Terms take effect upon User acceptance and remain applicable throughout the use of the Site and Services.

Welldona reserves the right to temporarily suspend or permanently delete the account of any User who does not comply with these Terms, commits fraud, fails to pay for the subscription, or publishes content that is inappropriate, misleading, contrary to public order, morality, or applicable law.

In cases of suspension or deletion due to a breach attributable to the User, no full or partial refund may be claimed.

12. Changes to the Terms

Welldona may modify all or part of these Terms at any time and without notice. The updated version becomes immediately applicable upon publication on the Site.

Continued use of the Site and Services by the User after publication constitutes full acceptance of the new provisions and irrevocably binds the User.

13. Governing law and jurisdiction

These Terms are governed by Belgian law. Any dispute regarding their interpretation, validity, or execution falls under the exclusive jurisdiction of the courts where Welldona has its registered office.

Privacy Policy (GDPR)

1. Introduction

This Privacy Policy explains how Welldona SRL, headquartered at Allée de Clerlande 3, 1340 Ottignies-Louvain-la-Neuve, processes personal data of users of the www.welldona.com platform. Processing is carried out in accordance with the General Data Protection Regulation (GDPR – EU Regulation 2016/679) and Belgian privacy laws.

3. Data collected

In using the Site and its services, Welldona processes various categories of personal data. This includes identification and contact details of listed organizations (such as ASBLs), information about their representative, descriptive elements needed for their public profile, and data generated by use of the Site, such as technical connection information, navigation logs, or IP addresses.

Subscription payment data is processed exclusively by our secure payment provider, Stripe. Welldona never has access to card numbers shared during the transaction.

4. Purposes of processing

Personal data is collected and processed to deliver Welldona’s services, including account management, publishing profiles in the directory, ensuring profile visibility to notaries and partner professionals, and handling administrative and accounting aspects of subscriptions. Data may also be used to improve the Site, secure access, send communications necessary for service delivery, or comply with Welldona’s legal obligations.

5. Legal bases

Processing is primarily based on fulfilling the subscription contract between Welldona and the User (Art. 6(1)(b) GDPR).

Some processing may rely on the User’s consent (Art. 6(1)(a) GDPR), notably for non-essential cookies or marketing communications.

Other processing is based on Welldona’s legitimate interests (Art. 6(1)(f) GDPR), including security, fraud prevention, or service improvement.

Certain legal obligations, particularly accounting obligations, require Welldona to retain specific data for a defined period (Art. 6(1)(c) GDPR).

6. Processors

Welldona may use external providers for certain technical services needed to operate the Site. These providers—such as the web host, email tools, or the payment provider Stripe—act as processors under the GDPR and may process personal data only on Welldona’s documented instructions and under a contract compliant with Article 28 GDPR.

No personal data is transferred to third parties for commercial purposes. Some data may, however, be visible to notaries using the Site, as this visibility is an essential component of the subscribed service.

7. Retention period

Data is retained only for as long as necessary to fulfill the purposes for which it was collected.

Data related to account management is kept while the account remains active and, after closure, for three (3) years as evidence. Financial data must be kept for ten years under accounting obligations. Technical data related to browsing and connections may be retained for up to twelve months.

Once these periods expire, data is deleted or anonymized, unless a legal obligation or legitimate interest justifies longer retention. Upon account closure, data not subject to legal obligations is deleted or anonymized within thirty (30) days.

8. User rights

Under the GDPR, each User has rights of access, rectification, erasure, restriction of processing, objection, and, where applicable, data portability. When processing is based on consent, it may be withdrawn at any time, without retroactive effect.

Requests to exercise these rights must be sent to Welldona at: [email protected] (with proof of identity).

Welldona commits to respond within the legal deadlines (one (1) month from receipt of the request, extendable by two (2) months in case of complexity or high volume).

9. Cookies

The Site uses technical (essential) cookies (exempt from consent under Art. 129 §2 of the Belgian law of 13 June 2005) and, where applicable, analytics or marketing cookies based on User consent provided in advance.

A cookie banner allows Users to accept or refuse non-essential cookies in line with guidance from the Belgian Data Protection Authority and the EDPB.

10. Security

Welldona implements appropriate technical and organizational measures to ensure the security and confidentiality of personal data and to prevent loss, destruction, alteration, disclosure, or unauthorized access. These measures include secure HTTPS connections, access controls, and internal procedures to protect processed data.

11. Recipients

  • notaries and professional users of the Site (public profile data – essential to the service);
  • ASBLs listed in the directory;
  • the technical providers mentioned above.

12. Policy changes

Welldona reserves the right to modify this Privacy Policy to reflect legal, regulatory, or functional changes. The updated version is published on the Site and takes immediate effect. Continued use of the Site after publication constitutes acceptance of the changes. Users are encouraged to review it regularly.
